1. The following Terms of Service constitute a legally binding agreement between you and Kaahmuchee Solution Private Limited (hereinafter referred to as “NoLegalPaisa.com”, “NLP”, “we”, “us”, or “our”), the owner and operator of the website NoLegalPaisa.com (hereinafter referred to as the “Website” or “Site” or “Platform”).

2. By accessing or using the Website, and/or by registering an account with us, you signify that you have read and agree to these Terms of Service (hereinafter, the “Terms” or “Agreement”). You also consent to the information practices disclosed in our Privacy Policy (which is incorporated into these Terms by reference) and agree to comply with all applicable laws and regulations of India. Please note that we offer the Website and Services “AS IS” and without warranties (as detailed below).

3. If you are using the Website on behalf of an individual or entity other than yourself, you represent that you are authorised to accept these Terms on that individual’s or entity’s behalf.

4. Eligibility: You affirm that you are at least 18 years of age (and are otherwise legally competent to contract under the Indian Contract Act, 1872) and thus capable of entering into a binding agreement. If you do not agree with any of these Terms, do not use this Website or any of our Services.

5. We may at any time, in our sole discretion, modify, add, or remove features or services offered on NoLegalPaisa.com, or alter the way the Website operates, without prior notice. It is your responsibility to review these Terms periodically for any updates. Your continued usage/accessing of the Website after changes to the Terms constitutes acceptance of those changes.

6. In this Agreement, the “Service” refers to the NoLegalPaisa.com platform and all related services provided by us. The words “you” or “User” refer to anyone who accesses or uses the Service (whether as a seeker of services or as a service provider). The term “Professional” refers to any third-party service provider accessible through our platform, including, but not limited to, advocates (lawyers), chartered accountants (CAs), company secretaries (CSs), mediators, or other qualified experts who offer services via NoLegalPaisa.com.

7. Various services on the Platform follow standardised operational workflows. These flows include the creation of a dialogue box between the User, Professionals, and the NLP Admin, document uploads by Users, scheduled consultations, and payment processes. These standardised workflows form part of these Terms by reference and shall be deemed to have been accepted by the User when using the relevant service.

8. By using our Service, you understand and agree that NoLegalPaisa.com is an intermediary platform that facilitates interactions, transactions and transmission of data between Users and Professionals. This Agreement does not create any professional-client or attorney-client or principal-agent relationship between you and NoLegalPaisa.com. Such relationships may be formed only between Users and the Professionals they engage through the platform, subject to separate terms as may be agreed between them.

9. NoLegalPaisa.com is an online portal that facilitates communication and transactions between Users and various Professionals offering legal, financial, and compliance services. NoLegalPaisa.com acts as a venue for providers and consumers of professional services to exchange information/payment with the goal of potentially forming an independent professional-client relationship. NoLegalPaisa.com does not guarantee that Users will successfully find a suitable Professional, obtain litigation funding, or achieve any specific outcome through our platform. We take no position and offer no opinion or guarantee on when, or if, a formal Professional-client relationship (e.g., attorney-client or CA-client relationship) is established between a User and a Professional — that is solely determined by the parties involved.

10. In order to provide an optimal forum for connecting advisors and clients, NoLegalPaisa.com does not participate in or influence the agreements or terms between Users and Professionals, nor do we partake in the actual representation or advice provided by the Professionals (except for facilitating the initial connection and interactions through the platform). We cannot ensure that a User or Professional will ultimately fulfil their obligations in any engagement. You, the User, are solely responsible for evaluating and selecting a Professional suitable for your needs, and for assessing the integrity, honesty, suitability, and trustworthiness of all persons with whom you communicate via this Platform. Each Professional may have their own engagement terms or client service agreement; you must review and understand those terms before you formally engage a Professional.

11. While the Platform facilitates communication by creating a dialogue room and coordinating administrative tasks such as scheduling calls, sending notices, and assigning professionals, these actions are purely facilitative. They do not (under any circumstance) constitute legal representation, agency, partnership or professional advice of any kind and in any manner.

12. you must review and understand those terms, providing a technology platform for information exchange and transaction facilitation. We do not initiate the transmission of any content between Users and Professionals, or modify any information contained in such transmissions. Any agreement for professional services is solely between you and the Professional. NoLegalPaisa.com is not a party to those contracts and does not charge any fees for the professional services (aside from platform facilitation fees). Consequently, NoLegalPaisa.com is not responsible or liable for the quality or outcome of any services provided by the Professionals. You agree that any claim or dispute arising from services provided by a Professional shall be brought only against the respective Professional and not against NoLegalPaisa.com.

13. NoLegalPaisa.com is not an agent, law firm, partner, employer, or representative of the Professionals listed on the platform. We solely facilitate communication and transactions between Users and Professionals. Any electronic communication sent to NoLegalPaisa.com (through the Website or otherwise) will not create a professional-client relationship (such as an attorney-client or accountant-client, principal-agent, principal-independent contractor relationship) between you and NoLegalPaisa.com; any such relationship is expressly denied. NoLegalPaisa.com itself does not provide legal, accounting, or other professional advice to Users. The role of NoLegalPaisa.com is limited to connecting you with independent Professionals, providing automated tools for your use, and facilitating transactions thereto.

14. NoLegalPaisa.com aims to help each User find a Professional suited to their needs. However, our platform is not an advertising space or solicitation tool for any specific Professional. The content on the Website (including any profiles of Professionals) should not be construed as professional advice or an endorsement of any particular individual. We may use algorithms or inputs to suggest or match Professionals to a User’s requirements, but such suggestions do not guarantee quality or fit. Transmission of data/information by NoLegalPaisa.com, use of NoLegalPaisa.com, or issuance of invoice/documents by NoLegalPaisa.com does not constitute or create a professional-client relationship between you and NoLegalPaisa.com. We encourage Users to independently review and evaluate Professional profiles and credentials and make an informed choice. NoLegalPaisa.com does not guarantee the correctness or completeness of any information provided by Professionals on their profiles.

15. NoLegalPaisa.com endeavours to protect User privacy and information. For certain interactions (for example, when you submit a request describing your issue), our system may initially withhold your personal contact information from Professionals until you choose to share it or engage with a Professional through the platform. While we strive to maintain confidentiality, please note that initial communications on the platform are not privileged or wholly private. Professionals generally should not request, and Users should not share, highly sensitive or confidential details about a case in the initial inquiry or chat. You should describe your issue in general terms at first. Only after you have decided to hire a particular Professional (and preferably moved to a secure, direct communication channel with them) should you disclose specific confidential information necessary to the engagement. Although we implement security measures, using the internet for transmitting information carries inherent risks. NoLegalPaisa.com cannot guarantee that information provided through the platform will remain confidential in all circumstances, especially if any security breach or unauthorised access beyond our control occurs. We are not responsible for any unauthorised use or disclosure of any information you post on our platform.

16. Any informational content provided by NoLegalPaisa.com – including frequently asked questions (FAQs), articles, guides, sample documents, or automated document generation tools – is for general informational purposes only and does not constitute professional advice. No content on the Website should be interpreted as legal, accounting, tax, or other professional advice specific to your situation. The decision to engage any Professional (including entering into any agreement for legal representation, consultation, compliance work, or litigation funding) is entirely your decision and should be made carefully. NoLegalPaisa.com does not guarantee any particular outcome from engaging a Professional through our platform. If you do not agree with any of these Terms, or do not want us to facilitate a connection with a Professional on your behalf, you should refrain from using our Services.

23. NoLegalPaisa.com facilitates User access to a diverse range of services provided by independent Professionals or through our platform’s tools. Our Services include, but are not limited to, the following:

If your case does not result in any recovery (for example, if you lose in court or cannot collect any judgment or settlement), then generally you owe us nothing (NoLegalPaisa.com would not recover the money it funded). Any specific variations or limited recourse terms will be clearly outlined in the funding agreement.

Funding Agreement: If your application is approved, you will need to enter into a separate, written Litigation Funding Agreement with NoLegalPaisa.com (or with a designated funding entity acting on our behalf). This agreement will set out all the specific terms and conditions of the funding. Key terms typically included in a Litigation Funding Agreement include, but are not limited to:
   1. The amount of funding that will be provided for your case.
   2. The percentage of any recovery or the payment multiplier that NoLegalPaisa.com will be entitled to receive if your case is successful.
   3. The conditions under which repayment or payment is due (usually only upon successful recovery, given the non-recourse nature of funding).
   4. Any repayment schedule or timeline, if applicable, and conditions (in some cases, payment is due only at the conclusion of the case).
   5. The specific uses of the funding (for example, it may cover attorney fees, court fees, expert witness costs, etc., as defined in the agreement).
   6. Conditions for continued funding or withdrawal of funding (for example, if certain case milestones are not met or if the case’s prospects significantly change).
   7. Your obligations to keep NoLegalPaisa.com informed about material developments in the case and to cooperate during the litigation (such as providing case updates or notifying us of settlement offers).
4. Risk Acknowledgement by User: By accepting litigation funding, you acknowledge that pursuing litigation carries inherent risks, and there is no guarantee of success. Even though the funding may be non-recourse (meaning you wouldn’t owe repayment without a recovery), losing the case means you may not receive any additional compensation, and the funder (NoLegalPaisa.com) loses the funded amount. You understand that NoLegalPaisa.com’s decision to fund your case is a commercial decision based on our assessment of the case, not a guarantee that the case will win or settle favourably. We strongly advise you to consult with your own attorney (separate from any discussions with us as a funder) about the merits and strategy of your case and to carefully consider the terms of the funding agreement before signing. Entering into a funding agreement can have significant implications (for example, it may affect your net recovery in case of success).
5. No Legal Advice from Funder: In providing litigation funding, NoLegalPaisa.com is not acting as your legal counsel. We do not control or direct your litigation or provide any legal advice regarding how your case should be handled. All legal decisions (such as whether to settle a case or proceed to trial) remain between you and your attorney. Our role is limited to providing financial support under the agreed terms. Communications or opinions from NoLegalPaisa.com related to the funding (or the value of the case) should not be construed as legal advice on your case’s conduct or likelihood of success.
6. User’s Obligations: You represent and warrant that all information you provide in connection with a funding application (and during any due diligence process) is true, accurate, and not misleading. If your case is funded, you agree to cooperate fully with reasonable requests from NoLegalPaisa.com necessary to protect our investment – for example, providing updates on significant case developments, outcomes, or ensuring that any settlement discussions account for the funding repayment. You must also comply with all terms set forth in the Litigation Funding Agreement, including any restrictions on early settlement or additional borrowing that it may contain.
7. Termination of Funding: The Litigation Funding Agreement will outline the circumstances under which NoLegalPaisa.com may terminate or withdraw funding. These may include, by way of example, if you commit a material breach of the agreement, if it is discovered that you made a material misrepresentation or omission in your funding application, if there are significant adverse changes in the prospects of the case (such as evidence of fraud, or key evidence being invalidated), or if you fail to cooperate with reasonable information requests. In the event funding is terminated due to your breach or misrepresentation, the agreement will specify the consequences (which could include an obligation to repay amounts advanced). Termination will not be arbitrary and will follow the conditions set out in your agreement.
8. It is again reiterated that submission of a dispute/case for funding does not guarantee approval (of funding), and that NoLegalPaisa.com reserves the sole right to approve or deny any litigation funding application at our discretion

We provide a scheduling and communication platform (via chat, audio, or video call) for these consultations.
   1. Professional’s Role: Any advice, guidance, or consultation provided through these sessions is given solely by the Professional with whom you interact. NoLegalPaisa.com itself is not giving you advice during these consultations. We do not verify or guarantee the accuracy, completeness, or suitability of any advice or information provided by the Professional in the consultation. The Professional is an independent service provider and is fully responsible for the content of the consultation.
   2. Engagement Terms: Before a consultation, you may be required to pay a consultation fee as displayed on our platform or as agreed. It is your responsibility to understand what is included in the consultation (for example, the duration of the session, whether it includes any follow-up in writing, etc.). Any further engagement beyond the initial consultation (for instance, hiring the Professional for a longer-term matter) is outside the scope of this Service and should be governed by a separate agreement between you and the Professional. NoLegalPaisa.com is not a party to such separate agreements, unless the agreement pertains to a service provided through the Platform and is placed through NoLegalPaisa.com, in which case the terms of the separate agreement will govern such engagement.
3. Online Dispute Resolution (ODR) and Mediation Services: NoLegalPaisa.com offers an Online Dispute Resolution platform to help Users resolve disputes through online mediation (and potentially other ADR methods).
   1. Mediator’s Role: If you use our ODR mediation services, your session will typically be facilitated by a neutral Mediator who is qualified to mediate disputes. The Mediator’s role is to assist the parties in communicating and negotiating; the Mediator does not act as a judge or arbitrator and will not impose a decision on the parties. The Mediator will not provide legal advice to either party. Both parties are responsible for reaching any agreement; the Mediator only guides the process.
   2. Confidentiality: Mediation sessions are intended to be confidential. We strive to ensure that discussions and any documents shared during a mediation are accessible only to the disputing parties, the mediator, and (if necessary) platform administrators. However, the confidentiality of online communications cannot be guaranteed. By participating in ODR, you agree to keep the contents of the mediation (communications and any proposed terms) confidential, and the other party and mediator should do the same, subject to applicable law. NoLegalPaisa.com will not voluntarily disclose what is said during mediation to any third party, except as required by law or with the parties' consent. Please note that if the law requires disclosure of certain information (for example, if there is an imminent threat of harm or a court order), such information may not remain confidential. We employ encryption and security measures for our ODR platform, but you acknowledge the inherent risks of conducting sensitive discussions via the internet.
   3. Non-Binding Nature: Unless all parties explicitly agree in writing to make a settlement reached in mediation binding (for example, by signing a settlement agreement), any outcome of the ODR mediation is non-binding. This means that if the parties reach only an informal understanding, it will not be enforceable until it is put into a written agreement signed by all parties. The mediation process is voluntary, and any party may choose to withdraw before a settlement is reached. Parties are strongly encouraged to seek independent legal advice before finalising any settlement agreement arising from mediation to ensure they understand their rights and obligations.
   4. User Responsibility: Your participation in the ODR or mediation service is entirely voluntary. You are solely responsible for deciding whether to settle a dispute and on what terms. NoLegalPaisa.com does not guarantee that a settlement will be reached, or that if reached, it will be favourable to you. Moreover, it is your responsibility to ensure that your dispute can be resolved via mediation. (Certain disputes, especially those requiring a legal adjudication or involving public rights or criminal complaints, may not be suitable for mediation.) NoLegalPaisa.com does not guarantee the legal enforceability of any mediated settlement – enforceability may require additional steps, such as drafting a formal agreement or obtaining a court decree (especially in court-referred mediations). By using our ODR services, you agree that NoLegalPaisa.com’s role is limited to providing the platform and, if applicable, a mediator, and that we have no liability for the outcome of the mediation.
4. Online Dispute Resolution and Arbitration Services: NoLegalPaisa.com offers an Online Dispute Resolution platform to help Users resolve disputes through online arbitration on its Platform in accordance with the Arbitration and Conciliation Act, 1996, and other applicable Indian laws. Arbitration may be offered as a standalone dispute resolution mechanism or as part of a multi-tier dispute resolution process, subject to the express consent of all parties.

Arbitrator’s Role: If you use our ODR Arbitration services, the dispute shall be decided by an independent and impartial arbitrator who is eligible to act as an arbitrator under the Arbitration Act. The arbitrator shall act in a quasi-judicial capacity and shall have the authority to hear the parties, receive pleadings and evidence, conduct hearings (if any), and render a reasoned arbitral award. The Arbitrator shall not be an employee, agent or representative of NoLegalPaisa.com. The Platform does not control, influence, or interfere with the conduct of the arbitration or the arbitrator’s decision-making process. The arbitrator does not act as legal counsel for either party, and each party remains responsible for presenting its own case.
   2. Confidentiality: The arbitration proceedings, including pleadings, evidence, submissions, and the arbitral award, shall be kept confidential in accordance with Section 42A of the Arbitration Act, except where disclosure is required (i) for enforcement or challenge of the arbitral award; (ii) by law, regulation or court order; or (iii) expressly consented to in writing by the parties. NoLegalPaisa.com shall take reasonable measures to maintain confidentiality, but does not guarantee absolute confidentiality of online communications.
   3. Binding nature and Enforceability: Arbitration is a final and binding dispute resolution mechanism. The arbitral award rendered shall be final and binding on the parties, subject to the limited grounds of challenge available under the law. An arbitral award may be enforced as a decree of a competent court in India in accordance with the law, subject to compliance with statutory requirements. The Platform does not guarantee the enforceability of any arbitral award, as enforceability depends on factors beyond the Platform’s control, including compliance with applicable law and court procedures.
   4. Arbitrability and User Responsibility: By opting for arbitration, you acknowledge that you are waiving the right to pursue the dispute before ordinary civil courts, except as permitted under law. You are solely responsible for ensuring that the subject matter of your dispute is capable of resolution by arbitration under Indian law. Disputes relating to criminal offences, matrimonial status, insolvency or other non-arbitrable disputes under Indian law may not be resolved through arbitration. The Platform’s role is strictly limited to providing the technological platform, including a panel of arbitrators, and facilitating access to arbitration services. The Platform does not act as an arbitral institution and shall not be liable for the conduct of the arbitration, the arbitrator’s decision, the arbitral award, or any consequence arising from enforcement or non-enforcement of such award.
5. Subscription-Based Legal Counsel Services: NoLegalPaisa.com offers subscription plans that allow businesses, startups, or MSMEs to access ongoing legal and compliance support from professionals at a fixed periodic fee.

   1. Scope of Subscription: Each subscription plan will clearly define the scope of services included. Generally, subscription legal counsel covers general legal advisory and routine compliance guidance (for example, answering legal questions, reviewing standard documents, providing reminders on filings, etc.). Unless explicitly stated, these subscriptions do not cover in-depth work such as representing you in court, handling complex transactions, or drafting extensive bespoke agreements. (Those would typically require separate engagements or additional fees.) It is essential to refer to your specific subscription agreement or plan description for the exact inclusions and exclusions. Any service that falls outside the scope will either not be provided under the subscription or may be provided at an additional cost.
   2. Fair Usage Policy: To ensure that all subscribers get quality service, NoLegalPaisa.com may enforce a Fair Usage Policy. This means there might be a reasonable limit on the number of consultations, queries, or hours of support you can utilise under the subscription within a given period. The limits (if any) will be communicated as part of your plan. If your usage exceeds what is considered fair or reasonable (for example, significantly higher than the average user), we may discuss upgrading your plan or adjusting the scope of services.
   3. No Attorney-Client Relationship with NoLegalPaisa.com: When you subscribe to a legal counsel plan, the professional-client (e.g. attorney-client) relationship is established between you and the specific Professional (or law firm) who provides the counsel, not with NoLegalPaisa.com or Kaahmuchee Solution Pvt. Ltd. NoLegalPaisa.com is facilitating the arrangement and managing the subscription platform, but is not providing the professional services itself. Any confidential or privileged communication shared as part of the subscription service is between you and the Professional. NoLegalPaisa.com disclaims any fiduciary duty or attorney-client privilege between the User and NoLegalPaisa.com for subscription services. (Of course, our Privacy Policy governs how we handle any information you provide to the platform.)
6. Document Drafting Services:
   NoLegalPaisa.com can assist Users in creating legal and business documents either by connecting Users with document specialists/Professionals or through automated document generation tools.

   1. Facilitation of Drafting: Upon request, we may assign a qualified Professional (such as a lawyer or legal document specialist) to work on drafting a document for you (e.g. contracts, agreements, company incorporation documents, etc.). In some cases, we may provide an automated questionnaire on the Website that generates a basic template document based on your answers.
   2. Input Accuracy: You, the User, are solely responsible for the accuracy and completeness of the information you provide for any document drafting service. Whether a document is drafted by a Professional or generated by a software tool, the output is based on the information and instructions you supply. NoLegalPaisa.com and the drafting Professional will assume the facts and details you provide are correct and complete. If you omit important information or provide incorrect details, the document may be flawed or unsuitable, and the responsibility for the same falls on and rests with you.
   3. Review Recommendation: While we aim to deliver high-quality documents, NoLegalPaisa.com strongly recommends that you review any document prepared through our Service carefully before using it. For important documents, it is often wise to have them reviewed by a legal Professional (if the drafting was automated) or by a second professional opinion (if drafted by a Professional through our platform), especially if the document will be used in high-stakes or complex situations. Laws and requirements can vary by jurisdiction, and slight differences in facts can require different drafting approaches. You should ensure the document meets your needs and is legally compliant in the relevant jurisdiction.

117. We have the right to disclose any information (including your identity and contact information, account records, and content submitted) as necessary to satisfy any applicable law, regulation, legal process, or governmental request. Without full information (such as the identities of adverse parties, related entities, etc.), a Professional cannot do a comprehensive conflict’s check (which would normally involve checking if they or their firm have represented any other party in your matter or a related matter).

128. Therefore, initial responses or communications from a Professional on the platform do not guarantee that the Professional has no conflicts pertaining to you/your case. They initial responses/communications are just preliminary in nature. Before you formally engage a Professional (e.g., hire a lawyer through our platform), it is standard practice for the Professional to ask you for more details (names of all parties involved, etc.) and to run a proper conflict check in accordance with their professional obligations.

129. Users are advised that it is your responsibility to seek disclosure of potential conflicts from the Professional once you move toward formal engagement by sharing all relevant information with the professional for the same. For instance, if you are seeking help with a contract dispute, you should tell the lawyer the names of the other parties (the opposing party, related businesses, etc.) as soon as you are seriously discussing hiring them, so they can confirm they have no conflict.

130. Professionals registered on NoLegalPaisa.com are likewise reminded of their duty: Once a potential engagement gets serious, they should collect enough information from the User to run a comprehensive conflicts check (for lawyers, per Bar Council rules; for CAs, per ICAI guidelines; etc.). If a conflict is discovered, the Professional should decline the engagement in accordance with their ethical duties.

131. NoLegalPaisa.com does not perform conflict checks on behalf of Professionals. We facilitate the connection, but the onus is on the Professional and User to ensure that no conflict of interest exists before proceeding with a confidential consultation or formal agreement.

132. If a conflict of interest does come to light after you’ve started working with a Professional (for example, you later find out the Professional’s firm represents the opposing party in another matter), you should immediately inform the Professional and likely discontinue sharing confidential information until the conflict is resolved. The Professional may have to withdraw from representation as well.

133. By using our platform, you acknowledge that initial communications are not privileged and do not preclude other Professionals from representing other clients in the same matter until a specific Professional-client relationship is confirmed and conflicts are cleared.

134. In summary, provide all necessary information about related parties when requested by your chosen Professional, to enable them to conduct a proper conflict of interest check. This protects both you and the Professional and ensures that confidential information is shared only when appropriate.

135. This Agreement (the Terms of Service) and our Privacy Policy (incorporated herein by reference) constitute the entire agreement between you and NoLegalPaisa.com regarding the use of our Service. If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be severed (i.e., removed) from the Agreement, and the remaining provisions shall continue in full force and effect.

136. In practical terms, this means: if one part of these Terms is void or unenforceable for some reason, you and we agree that it can be cut out, and it will not affect the validity of the rest of the Terms. • Limitation of Liability

To the fullest extent permitted by law, NoLegalPaisa.com (and its affiliated companies, officers, directors, employees, or agents) shall not be liable for any indirect, incidental, special, consequential or exemplary damages. This includes, without limitation, damages for lost profits, lost data, business interruption, goodwill, or other intangible losses (even if we have been advised of the possibility of such damages), arising out of or related to your use of the Service or your inability to use the Service, or the results of using the Service.

157. Some scenarios to illustrate this limitation:

Any dispute, controversy, or claim arising out of or relating to this Agreement or your use of NoLegalPaisa.com’s services shall be resolved through binding arbitration rather than in court, except for matters that may be taken to small claims court or for injunctive relief as noted below. The arbitration will be conducted in India, in accordance with the Arbitration and Conciliation Act, 1996 and any amendments thereto, or any law replacing it.

Arbitration Procedure: A single neutral arbitrator shall be appointed by mutual agreement of the parties (or, if we cannot agree within 30 days of notice of the dispute, either party may request appointment of an arbitrator by the competent authority under the Arbitration Act). The language of the arbitration shall be English. The arbitration shall take place in Mumbai/New Delhi, India. You may choose to appear via video or teleconference for the arbitration, or to have it conducted solely based on submitted documents, if the arbitrator permits.
2. Individual Basis: You and NoLegalPaisa.com agree that all disputes will be resolved only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated. You waive any right to have your case arbitrated or litigated as a class action or in a representative capacity on behalf of others.
3. Exceptions to Arbitration: Notwithstanding the above, either party may seek interim or preliminary injunctive relief (such as a temporary restraining order or preliminary injunction) from a court of competent jurisdiction to prevent an imminent harm, threat to the security, or misuse of intellectual property or confidential information, without first engaging in arbitration. 165. Exclusive Jurisdiction: In the event any dispute is found by a court to not be subject to arbitration (despite the provisions above), or if a court is needed to enforce an arbitration award, or for any other litigation permitted under these Terms, such dispute shall be subject to the exclusive jurisdiction of the courts located in New Delhi/Mumbai, India. You and NoLegalPaisa.com consent to the personal jurisdiction of such courts.

170. Reservation of Rights: We reserve all rights that are not expressly granted to you in these Terms. Any unauthorized use of the Website or the Materials terminates the permission or license granted by NoLegalPaisa.com and may violate applicable laws.

Ltd.), subsidiaries, affiliates, and each of their respective officers, directors, shareholders, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with:

1. Your access to or use of the Website or Services;
2. Your violation of any of these Terms;
3. Any content or information you post or submit through the Service; or
4. Your infringement of any intellectual property or other rights of NoLegalPaisa.com or any third party.

179. This means if someone else sues us or holds us responsible because of something you did (for example, you posted infringing material, or you misused the platform in violation of the Terms), then you will step in to defend NoLegalPaisa.com and pay any costs or damages we are required to pay as a result.

Fees and Payments: When you select a service (for example, a document drafting package, a consultation session, or a subscription plan), the fees for that service will be communicated to you (either via the Website or a written quote). You agree to pay all charges associated with the service in advance, unless other payment terms have been explicitly agreed (e.g., a milestone-based payment for a long project). Payments must be made in Indian Rupees (INR) unless otherwise specified, and may be subject to applicable taxes (such as GST). If any taxes are due, they will either be included in the price or stated separately. We will issue electronic invoices/receipts for any payment received.

184. Payments are typically processed through our third-party payment gateway partners, which may include credit card processors, UPI, net-banking, or other methods. You must provide accurate billing information and a valid payment method. If your payment method fails or your account is past due, we may collect fees owed using other collection mechanisms (including charging other payment methods on file, and/or retaining collection agencies and legal counsel). Transaction fees charged by payment providers (if any) are generally borne by us, but we reserve the right to charge a small convenience fee for certain modes of payment (you will be informed before payment if such a fee applies).

185. Order Confirmation: After you pay for a service, we will usually send an order confirmation or ticket number to your registered email. This confirmation indicates that we have received your request and payment. If for some reason we cannot fulfil the service (e.g., due to unavailability of a Professional, or a pricing error), we will inform you and process a refund if applicable.

Cancellations by User: If you change your mind after purchasing a service but before the service has commenced, you may request a cancellation by contacting us at support@nolegalpaisa.com and referencing your Order/Ticket number. We strive to accommodate such requests, but cancellation and refund eligibility will depend on the timing and whether work on your service has already begun.

1. “Change of Mind” Cancellation: If you decide not to proceed with a service shortly after payment and work has not yet commenced on the service in any significant way, we may allow cancellation with a full or partial refund of the professional fee component (see below regarding what is refundable). This typically applies if you notify us within a very short time frame (for example, within 24 hours for an on-demand service) and we confirm that work hadn’t started. The decision of NoLegalPaisa.com shall be final in this regard.
2. If Work Has Commenced: Once a Professional has been assigned and has started working on your case or if a consultation has been scheduled/completed, a change-of-mind cancellation might no longer be possible or may incur a cancellation fee (to compensate the Professional for time spent). We will evaluate on a case-by-case basis. The decision of NoLegalPaisa.com shall be final in this regard.

187. Delays and Dissatisfaction: We aim to deliver services within the estimated time frames. If there’s a significant delay caused solely by us or our assigned Professional beyond the promised timeline, you can notify us. If the delay is unreasonable and not due to any waiting on the User’s part (like waiting for you to provide information), we will consider a refund or partial refund.

1. If you are dissatisfied with the service provided, we encourage you to immediately bring this to our attention (via support@nolegalpaisa.com or by escalating to attention@nolegalpaisa.com). We will investigate the issue. If the dissatisfaction is due to an obvious service shortfall on our part (e.g., the delivered output didn’t match the service description or had significant errors), we may offer a remedy such as a revision/correction, or in some cases, a refund of the professional fees.
2. b. To initiate any request for cancellation or refund, please email us with the details of your case and the reason for the request. Provide any supporting evidence if applicable (for example, if you believe a delay was avoidable, or if a delivered document had mistakes).

188. Processing Refunds: If a refund is approved by our team, we will process the refund within 15-30 business days from the date of approval. Refunds will generally be made through the same payment method you used originally, unless otherwise agreed. Please note that once we process a refund on our end, it might take additional time for your bank or card issuer to credit the amount back to you.

189. What is Refundable:

1. We will only consider refunds for the professional service fees you paid to us. If there were any government fees, stamp duties, or third-party charges paid on your behalf (for example, a company registration fee paid to MCA, or a trademark application fee paid to the government), those amounts are typically non-refundable, since they have already been utilized for their intended purpose and cannot be recovered by us.
2. Similarly, if part of the fee went toward any consumable or disbursement (like purchasing stamp paper, courier charges, etc.), those may not be refundable if already spent.
3. Our pricing sometimes packages government fees and service fees together for convenience. In case of a refund, we will clarify which component is being refunded. Generally, only the service fee (the fee for the Professional’s time/expertise) is eligible for refund, and even then, only under the conditions described.

190. Payments are collected prior to initiation of services, as described in the operational process of each service. Payments made for consultations, document drafting, ODR, business registration and compliance services are non-refundable once the Professional is assigned or all parties (including professionals) are added to the relevant dialogue box.

191. Assessment and Decision: Upon receiving a refund request, NoLegalPaisa.com management will review the timeline of events, the work done, communications, and the reason for the request. We may reach out to you for additional information or clarification and also consult with the Professional involved. After assessment, we will inform you of our decision regarding the refund. The decision will take into account fairness, the extent of service already provided, and the reason for dissatisfaction or cancellation.

192. Final and Binding Decision: NoLegalPaisa.com reserves the right to make the final decision on any refund request. We strive to be fair and just, but by using our services, you acknowledge that our determination of refunds (and the amount, if any) will be final and binding, and made in good faith according to these Terms.

193. No Refund Circumstances: There are certain scenarios where refunds are generally not provided:

1. Delays due to External Factors: If a delay in service delivery was caused by factors outside our control (for instance, a government department taking longer to process a filing, or unforeseen closures like public holidays, or delays due to a pandemic lockdown, etc.), we cannot be held responsible for those delays and will not issue refunds based on such circumstances.
2. User’s Own Delay or Non-cooperation: If we or the Professional have been waiting on you for information, documents, or approvals and that causes a delay or inability to complete the service, we do not issue refunds. For example, if you purchased a document drafting service and then did not provide the necessary details to draft the document despite reminders, you would not be entitled to a refund due to “delay,” as the delay was caused by your inaction.
3. Change of Scope: If after commencement of work you decide to change the scope of the service (for example, you initially asked for a basic agreement but later want a more complex agreement that wasn’t part of the original order), and then you are unhappy because the additional work requires more fees or time, that does not qualify for a refund of the original service. We can either proceed with the changed scope with an adjusted fee or stick to the original scope.
4. After Completion: Once a service has been fully delivered as per the agreed scope and quality (in our determination), dissatisfaction alone, especially subjective, may not warrant a refund. (E.g., “I got the document drafted and it’s legally correct, but I don’t like the wording style.” – we can attempt a revision but not a refund if it met the agreed requirements.)
5. Violation of Terms: If a User violates these Terms or engages in misuse of our service, they are not entitled to refunds. For instance, if a user is found to be using the consultation service for illegal purposes and we terminate the service, we will not refund fees for services already rendered.

194. Service-specific Policies:

1. Litigation Funding Facilitation: In cases where NoLegalPaisa.com facilitated a litigation funding transaction: typically, any facilitation or processing fee charged by NoLegalPaisa.com for arranging the funding is non-refundable once the funding has been disbursed, since the service (connecting you with funder and completing the process) has been fulfilled. If, for some reason, the funding does not go through, we might refund any platform fee if it was charged upfront.
2. Subscription Services: If you subscribe to a monthly/annual legal counsel plan and decide to cancel early, NoLegalPaisa.com may consider a pro-rated refund of any unused portion of your subscription, at our discretion. This typically applies if you paid for a longer duration upfront. We will deduct the value of services already utilized (for example, if you used several consultation hours) from the refund. If a significant portion of the subscription period has passed or usage has been high relative to the period, a refund may not be available.
3. Online Consultations: Fees for completed consultation sessions are generally non-refundable. If you are unsatisfied with a particular consultation, let us know – we may offer a free follow-up or involve a different Professional to help, but refunds are typically not given for time spent.
4. ODR/Mediation Sessions: If a mediation session has started (i.e., the mediator and parties have met online) or completed, the fees for that session are non-refundable. If a session was scheduled and a party did not show up, we will work with you and try to reschedule per our policies, however, we cannot guarantee such rescheduling. In the event that
   1. The session cannot be rescheduled; or
   2. The party, fails to show-up despite rescheduling, then the fees for the session shall be forfeit on account of no-show of the party.

195. We are committed to customer satisfaction and will always try to find an amicable resolution to any issues. The above policies are to set clear expectations. They do not restrict us from accommodating you beyond these terms in exceptional situations at our discretion, but they clarify when we are not obligated to.

197. NoLegalPaisa.com (and its parent company, affiliated companies, officers, directors, employees, or agents) shall not be liable for any failure or delay in the performance of its obligations under these Terms, or for any interruption or delay in access to the Platform or Services, where such failure, interruption, or delay results from events or circumstances beyond its reasonable control (“Force Majeure Event”). A Force Majeure Event shall include, but is not limited to:

1. Natural disasters, such as floods, earthquakes, or other acts of God;
2. Pandemic, epidemic, or public health emergency (including resulting governmental restrictions);
3. War, terrorism, riots, civil commotion, or unrest;
4. Governmental action, rule, regulation, order, or decree;
5. Disruption or failure of internet services, cloud infrastructure, telecommunications, servers, or hosting providers;
6. Cyberattacks, data breaches, denial-of-service attacks, or similar malicious events;
7. Labour disputes, strikes, or the inability of third-party service providers (including legal professionals and consultants) to deliver services critical to the operation of the Platform.

198. In the event of a Force Majeure Event:

1. The obligations under these Terms of NoLegalPaisa.com (and its parent company, affiliated companies, officers, directors, employees, or agents) shall be deemed suspended for the duration of such event;
2. NoLegalPaisa.com (and its parent company, affiliated companies, officers, directors, employees, or agents) shall not be liable for any loss, damage, or inconvenience caused to any User, including MSMEs or other clients relying on the Platform’s document automation tools, consultation booking systems, or advisory services; and
3. NoLegalPaisa.com shall make reasonable efforts to notify Users and to restore functionality and services at the earliest possible time.

199. If the Force Majeure Event continues for a period of more than thirty (30) days and substantially impairs NoLegalPaisa.com’s ability to provide core services through the Platform, NoLegalPaisa.com reserves the right to modify, suspend, or terminate access to specific features or the Platform as a whole, without any further liability to the User.

200. This clause operates in addition to any rights available to NoLegalPaisa.com (and its parent company, affiliated companies, officers, directors, employees, or agents) under applicable law, including Sections 32 and 56 of the Indian Contract Act, 1872.

201. Your trust is important to us. If you have any grievances, concerns, complaints, or questions regarding our Services, these Terms, or any content on NoLegalPaisa.com, we have a process in place to address them:

2. The Grievance Officer (or a trained delegate) will investigate the matter, which may involve reviewing logs, communications, consulting with the Professional involved (if it concerns a Professional’s conduct), and so forth.
3. We aim to resolve or provide a substantive response to the grievance within one month from the date of receipt of the complaint, as per legal guidelines. Many issues may be resolved much sooner, but complex matters might require more time for a thorough investigation or coordination with external parties.
4. If the issue relates to potentially unlawful content or activity, we may also report it to appropriate authorities as required under law (as detailed earlier).
5. In case of complaints regarding content (like a claim of defamation or IP infringement by something on our site), we may take interim steps such as temporarily removing or disabling access to that content while the investigation is ongoing.
